Terms of Service

Welcome to Koffeeyap. These Terms of Service ("Terms") govern your use of the Koffeeyap website, waitlist, matching service, and any related services (together, the "Service"), operated by Koffeeyap ("we," "us," or "our"), based in Calgary, Alberta, Canada.

By signing up for the waitlist, submitting a matching profile, or using the Service in any way, you agree to these Terms. If you do not agree, please do not use the Service.

1. What Koffeeyap Is (and Isn't)

Koffeeyap is a social introduction service. We connect adults in Calgary for one-on-one platonic coffee meetups. Matching is performed by a person, not an algorithm.

When we facilitate a match, we select the café and the time. The cafés we choose are public, independent businesses in Calgary. We have no partnership, affiliation, sponsorship, or formal relationship with any café, business, or venue used for a Koffeeyap meetup. We do not represent, speak for, or act on behalf of any café, and no café endorses, sponsors, or is responsible for Koffeeyap or any meetup that takes place on its premises.

Koffeeyap is not a dating service, a professional networking service, a background-checking service, or an event-hosting service. We facilitate introductions only. We are not a party to any meetup, conversation, or relationship that results from the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you are 18 or older. We may ask for confirmation of age and may remove anyone we believe does not meet this requirement.

3. Your Information

When you sign up or submit a matching profile, you agree to provide information that is true, accurate, and about yourself (not someone else). Misrepresenting your identity, age, or other profile information is grounds for immediate removal from the Service.

You understand and agree that, in order to facilitate a match, we will share parts of your profile information, such as your first name, general area of the city, interests, and availability, with the person you are matched with. We will not share your email address or other contact information without your consent, except as needed to introduce you to your match.

4. Meetups, Safety, and Assumption of Risk

This section is important. Please read it carefully.

Koffeeyap does not screen, vet, verify the identity of, or run background checks on any user. We do not verify a user's age, intentions, criminal history, employment, marital status, or any other attribute.

Any meetup you attend is voluntary and entirely at your own risk. You are solely responsible for your own safety, your own decisions, and your own conduct before, during, and after any meetup.

We do not guarantee that:

We select the café and time as a convenience only. We have no control over the café, its staff, its premises, its policies, or any third party present at the café. We are not responsible for anything that happens at, around, or in connection with the café, including any injury, loss, theft, illness, food or beverage quality, allergic reaction, accident, or any conduct by café staff, other patrons, or your match.

We strongly recommend that you tell someone you trust where you are going, that you arrive and leave on your own terms, and that you remove yourself from any situation where you feel uncomfortable.

By using the Service, you acknowledge these limitations and voluntarily assume all risks, known and unknown, associated with using the Service, meeting other users, or being present at any café we have selected.

You are responsible for your own expenses at any meetup, including all food and drink purchases.

6. Our Right to Refuse or Remove

We may refuse, suspend, or remove any person from the Service at any time, for any reason, with or without notice or explanation. This includes (but is not limited to) situations where we receive a complaint about a user's conduct, or where we believe in our sole discretion that someone poses a risk to other users or to the integrity of the Service.

7. Fees

Koffeeyap charges for matchmaking before you enter the matching queue. Current options may include a one-time per-match payment or a recurring Koffeeyap Pro membership. Stripe processes payments; we do not store your card details. Any charge requires your clear agreement at checkout.

8. Intellectual Property

The Koffeeyap name, logo, website, and all related content are owned by us. You may not copy, reproduce, or use them without our written permission. Feedback or suggestions you send us may be used by us without obligation to you.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that you will be matched, that any match will be a good fit, that any meetup will occur or go well, or that the Service will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Koffeeyap and its founder(s), employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss, injury, or damage of any kind, including claims based on negligence, arising out of or relating to:

(a) your use of the Service;

(b) any meetup or interaction with another user;

(c) the conduct of any user, whether online or offline;

(d) any act or omission of any café, venue, business, or third party where a meetup takes place or is scheduled to take place; or

(e) any injury, illness, loss, or damage occurring at or in connection with a café or venue we have selected.

To the extent any liability cannot be excluded, our total liability to you for all claims will not exceed the greater of (i) the amount you have paid us in the twelve months before the claim (currently $0), or (ii) CAD $100.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Koffeeyap and its founder(s) from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your conduct at any meetup, your violation of these Terms, or your violation of any rights of another person.

12. Termination

You may stop using the Service at any time and may ask us to delete your information by contacting us. We may suspend or terminate the Service, or your access to it, at any time. Sections 4, 9, 10, and 11 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on our website with a new "Last updated" date, and where appropriate, notify you by email. Continued use of the Service after changes take effect means you accept the updated Terms.

14. General Provisions

Severability. If any part of these Terms is found to be unenforceable or invalid, that part will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service, and replace any prior understandings.

No Waiver. If we don't enforce a part of these Terms on one occasion, that doesn't mean we waive our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms to anyone else. We may assign these Terms (for example, if Koffeeyap incorporates or is acquired) without your consent.

15. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta. Any disputes will be resolved in the courts of Alberta.
